If you run a UK limited company and pay yourself a small salary plus dividends, you can qualify for Spain's Digital Nomad Visa, but your pay structure probably needs to change before you apply. Under Ley 14/2013, as amended by Ley 28/2022, you must show at least €2,849 per month in gross income: 200% of Spain's minimum wage (SMI), updated by Real Decreto 126/2026. The UGE (Unidad de Grandes Empresas, the office that processes in-country applications) checks this against three months of payslips or invoices matched to your bank statements. A £1,048 monthly director's salary topped up with dividends does not fit that format well. Which Route a UK Limited Company Director Applies Under

Spain's Digital Nomad Visa, officially the residence authorisation for international teleworkers, covers two kinds of relationship with a foreign company: employment and professional (self-employed) activity. As the owner of your UK limited company, you apply on the professional side, as an autónomo societario: a self-employed person who works through a company they own or control.

This matters even if you are on your own company's PAYE payroll. In the UK you may be both director and employee of your Ltd. For the UGE, ownership defines the relationship, which is why business owners apply as autónomo societario rather than as employees. The UGE's published documentation guidance applies this route to applicants who are the sole owner of the company or who, without owning all of it, hold effective control of it. It does not set an ownership percentage. If you own 100% of your Ltd, the picture is simple. If you share it 50/50 with a spouse or co-founder, or hold a minority stake, control has to be shown through other evidence, and your case needs individual review before you choose a route.

Salary vs Dividends: How the UGE Reads a Director's Income

The UGE's documentation guidance lists what proves your income: payslips or invoices from the three months before your application, plus a bank certificate for the same months, in your name and stamped or signed by the bank, showing those payments arriving. Each payment must be marked so it can be matched to a payslip or invoice.

Dividends are not on that list. There is a fallback for company owners: where the standard documents are not available, an autónomo societario can present their personal income tax return for the previous year. For a UK director, that means your Self Assessment return and HMRC tax calculation (SA302), which capture both salary and dividends.

In practice the two paths are not equally predictable:

  • Salary above the threshold, on payslips, matched to bank transfers. This is the format the UGE's list is built around, and it is the one Hoply's lawyers recommend.
  • Low salary plus dividends, supported by your tax return. It exists as a fallback, but it relies on a prior-year figure rather than current monthly income, and it leaves more room for interpretation.

Dividends still have a place in your file. Dividend vouchers and the matching bank transfers show that your total income sits comfortably above the minimum and that your company is profitable. They work best as supporting evidence on top of a salary that already meets the threshold by itself.

How Much Salary to Pay Yourself Before Applying

The threshold is gross, before tax and National Insurance, so the salary on your payslips is the number that counts, not your take-home pay.

Because you are paid in pounds, the UGE converts your salary into euros. At recent rates €2,849 is roughly £2,500, but exchange rates move, and a payslip that clears the threshold by £20 in November can fall short by February. Hoply's lawyers usually recommend setting your salary with a clear buffer above the euro figure, and keeping it identical for all three months.

Take Emma as an illustration: sole director and 100% shareholder of a UK marketing consultancy, paying herself £1,048 a month in salary and around £4,000 a month in dividends. Her total income is well above the threshold, but her payslips show less than half of it. By raising her salary to about £2,600 a month for the three months before she applies, and keeping dividends on top, her payslips, bank statements and dividend vouchers all tell the same story.

Do You Need a Contract With Your Own UK Limited Company?

Most UK sole directors have no written agreement with their own company, and nothing in UK law requires one. The UGE works differently: it reads your relationship with the company from documents.

Two points from the UGE's guidance are relevant. First, if you are the sole owner or have effective control, the minimum three-month professional relationship is taken as met once you prove your ownership and more than one year of real, continuous company activity. Second, the company letter is still required. For an autónomo societario, permission to work remotely is implicit, but the letter must still set out your role, your main functions, that the work can be done remotely, and your salary in euros.

In practice, Hoply's lawyers prepare two documents for UK directors. The first is that letter, signed by you as director of the company. The second is a written agreement between you and your company describing the services you provide and your pay, because the UGE understands a relationship more easily when it is set out in a contract. Both are drafted to match your payslips exactly: the same salary, the same role, the same start date.

The UGE asks company owners for four things on top of the standard file: proof of ownership or effective control, the company's last corporation tax return, evidence of investment in productive assets, and a social security report showing the company's history of registered employees. You will also need the standard documents every applicant provides: passport, an apostilled ACRO police certificate, your degree or proof of three years' experience, a CV and signed declarations. Our Digital Nomad Visa document checklist covers the full list.

Legalising UK Company Documents for Spain

UK documents fall into two groups. Public documents signed by an official, such as Companies House certificates and the ACRO certificate, can be apostilled directly by the Foreign, Commonwealth and Development Office. Private documents, such as your share certificate, company letters or a university diploma copy, must first be certified by a UK notary and then apostilled.

Bank statements need the same care. The UGE asks for bank certificates stamped or signed by the bank, which is a problem for app-only banks such as Monzo or Starling. You can request stamped statements from the bank, which can take one to two weeks by post, or have them notarised. Once legalised, documents that are not in Spanish need a sworn translation. Keep an eye on dates too: Companies House certificates and criminal record certificates must be less than three months old when you submit.

How Far Ahead to Restructure Your Pay

Work backwards from your submission date. The UGE looks at the three full months before you apply, so if you plan to submit in March, your higher salary must already appear on your December, January and February payslips and bank statements. That means making the payroll change with your accountant in November at the latest.

Company documents can be gathered in parallel, apart from the time-sensitive ones. Order the Companies House certificate and ACRO certificate about a month before submission, so they are still under three months old on the day and there is time for apostilles, which usually take two to three weeks in the UK. Allow around ten weeks overall for preparation. When everything is ready, you submit online from inside Spain while your stay is legal, and the UGE has 20 working days to resolve. The government fee is €73.26.

Common Mistakes UK Directors Make

  • Relying on total income instead of payslip income. £5,000 a month in salary and dividends combined does not help if your payslips show £1,048.
  • Changing salary mid-window. Three different salary figures across the three months invite questions. Set it once, before the window starts.
  • Applying as an employee of your own company. Being on PAYE does not make you an employee for the UGE if you own the company.
  • Assuming the Companies House certificate proves ownership. It shows the company and its directors, not its shareholders.
  • Ordering documents too early. A certificate that is four months old on submission day has to be ordered, apostilled and translated again.

A UK limited company is one of the strongest foundations for a Digital Nomad Visa application: an established company, real activity and reliable income. What trips directors up is presentation. A tax-efficient UK pay structure does not automatically match the format the UGE expects, and the fix has to be in place three months before you apply.
